- Liability is limited to the maximum extent permitted by law.
1) Acceptance
By accessing or using OfferChecker (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
2) Eligibility
You must be at least 18 years old (or the age of majority in your location) to use the Service.
3) Educational purpose (no advice)
OfferChecker provides educational estimates and general information about compensation, equity, and negotiation. OfferChecker is not a law firm and does not provide legal advice. OfferChecker is not a registered investment adviser and does not provide investment advice. OfferChecker is not a tax preparer and does not provide tax advice.
You are responsible for your decisions. If you need professional advice, consult a qualified attorney, CPA, or financial adviser.
4) No warranties
The Service is provided “as is” and “as available.” We do not warrant that results will be accurate, complete, timely, or fit for a particular purpose.
Market data can change quickly. Private company outcomes vary widely. Tax rules can be complex and fact‑specific. Calculators are simplified and may not include state taxes, payroll taxes, withholding nuances, AMT credit dynamics, or your specific situation.
5) Your inputs and content
You are responsible for what you submit to the Service. Do not submit confidential information you do not have the right to share.
You grant us permission to process your inputs to provide the Service (for example: generating calculations, summaries, comparisons, and drafts).
6) Prohibited uses
You agree not to misuse the Service, including attempting to disrupt it, scrape it at scale, reverse engineer it, bypass access controls, or use it to generate unlawful content.
7) Intellectual property
The Service and its content (excluding what you submit) are owned by the Service operator and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service unless permitted by law.
8) Limitation of liability
To the maximum extent permitted by law, OfferChecker and its owners/operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, compensation, goodwill, data, or opportunities, arising out of or related to your use of the Service.
In jurisdictions that allow it, the total liability for any claim will not exceed the amount you paid (if any) to use the Service during the 12 months before the event giving rise to the claim.
9) Indemnification
You agree to defend, indemnify, and hold harmless OfferChecker and its owners/operators from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third‑party rights.
10) Suspension and termination
We may suspend or terminate access to the Service at any time if we reasonably believe you are abusing it, violating these Terms, or creating risk for the Service or other users.
11) Disputes; arbitration; class action waiver
Please contact us first to try to resolve any dispute informally. If we can’t resolve it informally, you and we agree that (except as described below) any dispute arising out of or relating to the Service or these Terms will be resolved by binding, individual arbitration.
Class action waiver: You and we agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Exceptions: Either party may bring a claim in small claims court (if eligible), and either party may seek injunctive or equitable relief to protect intellectual property rights.
If an arbitration clause is found unenforceable, then to the extent allowed by law, disputes will be brought in the courts described in the Governing Law section.
12) Governing law (California)
These Terms are governed by the laws of the State of California, USA, without regard to conflict of laws rules.
If a dispute is permitted to be brought in court (rather than arbitration), you and we agree to exclusive jurisdiction and venue in state or federal courts located in California.
13) Changes
We may update the Service or these Terms from time to time. Continued use means you accept the updated Terms.

Operator
OfferChecker is currently operated by an individual based in California, USA. If/when OfferChecker is transferred to an LLC or other entity, references to the “operator” will include that entity.
